These Terms apply to all visitors, users, and clients of GUILLEN A Real Estate Company ("GUILLEN," "we," "our," or "us"), a Florida-licensed real estate brokerage.

If you do not agree to these Terms, please do not use the Site. We reserve the right to update these Terms at any time. Continued use of the Site after changes constitutes your acceptance of the updated Terms.

2. Description of Services

GUILLEN provides commercial and residential real estate brokerage services in South Florida, including but not limited to:

• Buyer and seller representation
• Landlord and tenant representation
• Investment sales and advisory
• Property management services
• Development and land advisory (through THE BRONZE TITAN platform)
• Capital markets advisory (through GUILLEN Capital)
• Access to gated off-market investment opportunities (subject to NDA)

The Site provides general information about these services, active and historical property listings, and tools to connect prospective clients with GUILLEN's team. Use of specific services may be subject to additional agreements.

3. Accuracy of Listing Information

Disclaimer: All property information, listing data, pricing, square footage, zoning classifications, financial projections, and other details published on this Site are provided for general informational purposes only. GUILLEN obtains this information from sources believed to be reliable but makes no representations or warranties, express or implied, as to the accuracy, completeness, or fitness for a particular purpose of any listing information.

Prospective buyers, sellers, tenants, and investors are strongly advised to:

• Independently verify all property information before making any decision
• Retain qualified legal, financial, and due diligence professionals
• Conduct physical inspections of any property of interest

4. Confidentiality and Non-Disclosure Agreement

Access to certain property information, including offering memoranda ("OMs") and off-market opportunity details, requires execution of a Confidentiality and Non-Disclosure Agreement ("NDA"). By signing the electronic NDA on this Site, you agree to its terms, which include:

• Keeping all confidential information strictly confidential
• Using confidential information only for the purpose of evaluating a potential transaction
• Acknowledging GUILLEN as the procuring cause of any transaction
• Not contacting property owners, tenants, or lenders directly without GUILLEN's consent

Electronic signatures collected through this Site are legally binding under the Florida Electronic Signature Act and the federal E-SIGN Act. NDA records are retained for a minimum of five (5) years.

5. Broker Cooperation

GUILLEN gladly cooperates with all licensed real estate brokers and agents and will honor existing client relationships. If you are a licensed real estate professional representing a prospective buyer, seller, tenant, or investor, please identify yourself and your client at the outset of any inquiry. Compensation arrangements are subject to a separate co-brokerage agreement.

6. AI Assistant

This Site features an AI-powered assistant ("GUILLEN AI") intended to provide general information about our listings, services, and the South Florida real estate market. The AI assistant:

• Does not provide legal, financial, tax, or investment advice
• May not have real-time or complete information about all listings
• Should not be relied upon as a substitute for consultation with a licensed professional
• May make errors — always verify information with our team directly

Conversations with the AI assistant may be processed by third-party AI providers as disclosed in our Privacy Policy.

7. Intellectual Property

All content on this Site — including text, photographs, graphics, logos, offering memoranda, market reports, videos, and design elements — is the property of GUILLEN or its licensors and is protected by applicable copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, publicly display, or create derivative works from any content on this Site without GUILLEN's express written consent. Offering memoranda accessed through this Site are confidential and may not be shared, forwarded, or republished without prior written permission.

9. Limitation of Liability

To the fullest extent permitted by applicable law, GUILLEN and its officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, loss of data, or loss of goodwill — arising out of or in connection with:

• Your use of or inability to use this Site
• Any inaccuracy in listing information published on this Site
• Any transaction or decision made in reliance on information from this Site or the AI assistant
• Unauthorized access to or alteration of your data

In no event shall GUILLEN's total liability to you exceed the amount of fees actually paid by you to GUILLEN in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless GUILLEN and its officers, employees, agents, and licensors from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising from your use of the Site, violation of these Terms, or infringement of any third-party rights.

11. Third-Party Links and Services

This Site contains links to third-party websites and services including Calendly, LoopNet, Crexi, social media platforms, and others. GUILLEN is not responsible for the content, privacy practices, or terms of any third-party website. Links are provided for convenience only and do not constitute an endorsement.
